We have developed a proposal for possible contractual schemes and structures to minimize tax risks associated with affiliated legal entities. As part of the project, we prepared key documents: a license agreement under which the main CIS company received the rights to use software for managing the pharmacy chain, and a marketing services agreement under which the UAE company provided SEO promotion of the client's websites in the CIS.

The client received a stable and legally verified structure of interaction between its companies in the CIS and the UAE, which allowed it to optimize tax and operational processes, improve the efficiency of pharmacy chain management, and increase its online presence and audience reach.

We developed a strategy for the client to enter the Saudi Arabian market through franchising and ensured the legal registration of relations with a local partner. As part of the project, we analyzed the Saudi Arabian market in terms of franchising regulation and possible risks, negotiated with local partners, prepared a franchise agreement and ensured its registration with local authorities.

Thanks to our support, the client successfully entered the Saudi Arabian market, expanding its business and attracting significant investments for further growth. We helped create a clear strategic plan that ensures the client's long-term success in the region.

Development of the project, as well as project management from the idea stage to confirmation of the results of the assessment of IP objects included in biotechnological products.

Supported the transfer of IP objects as a contribution to the authorized capital, ensuring compliance with the commercial secrecy regime applicable to know-how.

We analyzed the legislation for requirements and restrictions potentially applicable to the service (AML, special licenses and permits), communicated directly with authorities and regulators to obtain classified

Prepared a detailed report in which we described the possible risks of violating the legislation and gave recommendations on how to avoid violations and fines.

We communicated directly with the KSA government authorities to clarify certain provisions of the law. Based on the clarifications received, we prepared a guide with recommendations for employees on the registration and distribution of medicinal products, a description of the risks from the point of view of the KSA legislation and ways to reduce them.
