Overview
A UAE mainland company is licensed by the economic authority of an emirate to conduct the activities stated on its licence. A free-zone company is licensed under the rules of a particular free-zone authority. Neither route is universally better: the correct choice follows the activity, customer market, regulatory perimeter, premises, visa plan and income flows.
The common shortcut — “mainland for the UAE, free zone for abroad” — is no longer a sufficient decision rule. Free-zone access to the local market is regulated rather than absolutely prohibited, and Dubai introduced specific branch and permit routes under Executive Council Resolution No. 11 of 2025. At the same time, a free-zone licence does not automatically create unrestricted mainland access or a 0% corporate-tax result.

This table is a screening tool, not a legal conclusion. A regulated activity, a customer-facing location or one important income stream can change the answer.
What is a mainland company?
A mainland company is established through the competent economic authority of an emirate — for example, the local department responsible for economy or business licensing. The UAE Government's current setup route begins with the business activity and legal form, then covers the trade name, initial approval, constitutional documents, premises, external approvals and licence payment.
Foreign investors can own up to 100% of many mainland companies. That is not a rule for every activity: businesses of strategic impact and restricted sectors may remain subject to ownership conditions or additional approvals. The activity must therefore be checked before the shareholders and documents are fixed.
Choose mainland because the operating model needs it — not because someone says it is the only structure a foreigner can own.
Which strategic-impact activities need a separate ownership check?
The current Ministry of Economy and Tourism summary and Cabinet Resolution No. 55 of 2021 identify seven strategic-impact categories. Six are subject to the relevant regulator's approval and conditions; fisheries-related services require 100% Emirati ownership.

For the first six categories, the regulator may determine national and foreign capital participation, board participation and other controls. The investor files first with the economic department of the relevant emirate. The Ministry's current summary states that a complete application is forwarded to the regulator within five working days and that the regulator decides within 14 working days after the request or fulfilment of its conditions. These are referral and decision stages, not a guaranteed complete incorporation timetable.
Not appearing in this seven-category table does not by itself finish the licensing analysis. The exact activity may still require a professional, municipal or sector approval, and the local licensing authority must accept the proposed form and activity wording.
What is a free-zone company?
A free-zone company is formed and licensed by a specific free-zone authority. The zone determines the entity types it registers, available activities, facilities, visa arrangements, renewal process and charges. The UAE Government's free-zone guidance starts with the sector and suitable zone, because not every authority supports every activity or legal form.
Free zones are often useful for international trade, export services, holding structures, specialist ecosystems and businesses that need a particular port, warehouse, studio, laboratory or financial-centre framework. But “free zone” is not one product. An inexpensive general-purpose package and a regulated DIFC or ADGM structure solve different problems and should not be compared only by licence price.
Can a free-zone company work with mainland customers?
Sometimes — but the legal route matters.
The UAE Government describes mainland access by free-zone companies as regulated. Depending on the emirate, activity and transaction, the route may involve customs clearance, a licensed distributor, a mainland branch or company, a dual licence, a permit or another approval.
Dubai now provides a concrete example. Under Executive Council Resolution No. 11 of 2025, an eligible Dubai free-zone establishment may conduct approved activities outside the zone after obtaining the applicable Department of Economy and Tourism licence or permit. The resolution provides for:
- a branch located in the emirate;
- a branch operating from the free zone; or
- a temporary permit for specified activities.
The establishment needs the free-zone authority's approval and any sector approval, must keep its free-zone licence valid and must maintain separate financial records for activity conducted outside the zone. The resolution sets AED 10,000 per year for the licence for a branch operating out of the free zone and AED 5,000 for a temporary activity permit. Those are only the specified DET fees, not the complete cost of operating in Dubai.
This Dubai route should not be projected onto every emirate. Nor does it apply in the same way to financial establishments licensed in DIFC, which the resolution excludes.
Is a free-zone company automatically taxed at 0%?
No. Free-zone incorporation and Qualifying Free Zone Person status are different questions.
Both mainland and free-zone juridical persons incorporated in the UAE are generally UAE resident persons for corporate-tax purposes. Under the Federal Tax Authority's free-zone regime, 0% is available to a Qualifying Free Zone Person on Qualifying Income. Other taxable income may be subject to 9%, and the conditions include more than the address on the licence.
The decision therefore starts with income, counterparties and functions:
- What will the company sell?
- Who will pay it: another free-zone person, a mainland customer or a foreign customer?
- Where are the people, assets and decision-making functions?
- Does the activity fall within qualifying or excluded categories?
- Will the company have a mainland or foreign permanent establishment?
- Can it satisfy substance, transfer-pricing, financial-statement and other compliance conditions?
If these questions are not mapped before incorporation, a structure chosen for “0% tax” may fail the reason it was selected.
VAT is separate. The Federal Tax Authority states that a UAE-resident business must register when taxable supplies and imports exceed AED 375,000 over the previous 12 months or are expected to exceed that threshold in the next 30 days. A free-zone label does not by itself remove that test.
Which route is better for opening a bank account?
Neither licence type guarantees an account. Banks assess the actual business: ownership, nationality and residence, source of wealth and funds, activity, contracts, counterparties, expected payments, premises, website and economic rationale.
A structure becomes harder to explain when its licence, customers, invoices and real activity do not match. A lower-cost zone can be perfectly workable for one export consultancy and unsuitable for another business that needs local inventory, regulated payments or a customer-facing Dubai operation.
For banking, the useful question is not “Which zone is easiest?” It is: Which structure creates a coherent, documentable business that a bank can understand and monitor?
How do visas and office requirements change the answer?
Visa capacity and premises are linked to the chosen authority, package, facility and activity. A licence-only quotation may exclude the establishment card, immigration file, entry/status process, medical examination, Emirates ID, insurance, deposits and dependant applications.
The office question is operational as well as administrative:
- Does the activity require a physical customer-facing location?
- Is a flexi-desk acceptable for the licence and visa count?
- Will a bank expect evidence of premises consistent with the stated business?
- Are storage, warehouse, clinic, food-safety or other sector conditions involved?
- Does growth require a facility upgrade and a different renewal cost?
A package that is cheap for one founder without visas can be the wrong comparison for a team that needs six visas and a regulated office.
What does a UAE company really cost?
There is no reliable single UAE setup price. A useful estimate separates at least these categories:

Ask for year-one and renewal figures separately. Then mark every amount as official, professional or variable third-party cost, with a checked date. That makes competing quotations comparable and exposes what a headline package leaves out.
A seven-step decision process
- Map the activity. Describe what the company will actually sell, deliver and invoice — not only the broad marketing label.
- Map the customers and delivery location. Separate mainland UAE, free-zone and foreign customers, and identify where staff and assets will perform the work.
- Check the regulatory perimeter. Confirm the licensing authority, external approvals and foreign-ownership conditions before selecting an entity.
- Model the tax flows. Test each material income stream instead of assuming that the company label determines the rate.
- Design premises and immigration. Add the real facility and visa requirement, including the first year and renewal.
- Build the banking narrative. Make the licence, contracts, counterparties, website, source of funds and expected flows tell the same story.
- Compare total lifecycle cost. Include setup, renewal, tax/accounting, market-access route, amendments and an eventual exit.
Only after those steps should the shortlist be reduced to an emirate, mainland authority or specific free zone.

Frequently asked questions
Is mainland always more expensive than a free zone?
No. Headline free-zone packages can start lower, but a valid comparison includes the required facility, visas, external approvals, mainland-access route, accounting, renewal and amendments. Depending on the activity and team, those additions can narrow or reverse the initial difference.
Can a foreigner own 100% of a mainland UAE company?
Foreign investors may own up to 100% of many mainland companies. Strategic-impact, restricted and regulated activities can remain subject to special ownership conditions or approvals, so the exact licensed activity must be checked before the structure is fixed.
Can a free-zone company invoice mainland clients?
The answer depends on the emirate, activity and delivery model. Mainland activity is regulated and may require a distributor, branch, mainland licence, dual licence, permit or other approval. Dubai Resolution No. 11 of 2025 provides specific branch and permit routes for eligible activities.
Does a free-zone licence mean 0% corporate tax?
No. A free-zone company must qualify as a Qualifying Free Zone Person, and 0% applies only to Qualifying Income. Other taxable income may be taxed at 9%. Substance, income type, counterparties, permanent establishments and compliance all matter.
Which structure is best for a consulting or software business?
There is no universal answer. An export-focused consultancy may fit a free zone; a business delivering regulated or routine local services may need a mainland route. Customer contracts, where work is performed, staff, IP, tax and banking evidence decide the result.
Can company registration guarantee a UAE residence visa or bank account?
No. Incorporation, immigration and bank onboarding are separate processes. The licence and facility influence the available route, but the immigration authority and bank apply their own criteria and request their own evidence.
