Why register a company in the USA?

A US company can hold contracts, employ people, receive investment, own assets and create a defined operating counterparty. Ordinary LLCs and corporations are formed under state law, so the first legal decision is not simply whether to incorporate in the United States. It is which entity and which state fit the place of management, owners, customers, staff, funding and regulated activities.

Nevada and Texas offer separate legal and filing systems. A Nevada entity is not automatically authorised to operate in Texas, and a Texas entity does not gain authority in Nevada merely because it can sell online. We test the facts that may trigger registration, tax, employment or local licensing in another state. What is required for company registration in the USA?

The required state filing depends on whether the founders choose an LLC, corporation, limited partnership or another available form. A registrable name, a registered agent in the formation state and an authorised filing are core elements. The governance file should also identify members or shareholders, managers or directors, officers, signing powers, capital or share rights, transfers, reserved decisions and the treatment of founder departures.

  • Operating map. Identify where management, people, premises, inventory, customers and revenue-producing activity will be located.
  • Entity and tax route. Compare liability, governance, investor requirements and expected federal classification before selecting an LLC or corporation.
  • Ownership evidence. Verify every founder, controlling person, foreign corporate owner and authorised signatory and keep the ownership chain consistent.
  • State filing data. Confirm the legal name, registered agent, addresses, management structure, purpose and any state-specific declarations.
  • Internal governance. Prepare an operating agreement, bylaws, initial consents and signing matrix that reflect the founders' actual arrangement.
  • Connected permissions. Check assumed names, local permits, professional licences, sales-tax registration, payroll and foreign qualification separately.

After the state accepts the entity, the IRS directs a newly created legal entity to obtain its EIN using the exact registered name. The responsible-party information must be accurate. An EIN identifies federal tax accounts; it is not a business licence, immigration status, bank approval or proof that every state tax registration is complete.

How official fees and other costs are structured as of 11 July 2026

There is no single federal incorporation fee for an ordinary Nevada or Texas LLC or corporation. Formation charges are set by the relevant state and depend on the entity and filing selected. Expedited handling, certified copies, status certificates, assumed names, state business licences, registered-agent services, local permits and foreign qualification can add separate charges.

The IRS currently issues an EIN directly without an application fee. That does not make the full launch free. A variable or unverified amount is described as confirmed at filing rather than inserted into the page as a fixed package price.

How does the US company registration process work?

  1. Map the business. Record management, owners, staff, premises, customers, funding, sales channels, intellectual property and regulated work.
  2. Choose the state and form. Compare Nevada and Texas obligations and select an LLC, corporation or other form against governance and tax objectives.
  3. Clear the filing data. Check name availability and confirm the registered agent, addresses, managers or directors, authorised filer and stated purpose.
  4. Prepare governance. Draft the operating agreement or bylaws, initial approvals, equity records and authority rules before commercial commitments begin.
  5. Submit the state filing. Use the current official channel, pay the confirmed state charges and answer any state request without changing the agreed structure silently.
  6. Set federal records. Apply for the EIN after formation and document the federal tax classification, responsible party and any election decision.
  7. Launch the compliance calendar. Identify state tax, annual report, information report, licence, payroll, local and foreign-qualification tasks and assign an owner to each.

State processing time is not the same as end-to-end readiness. A filing may be accepted while tax registration, a local permit, a professional licence, a bank review or an out-of-state qualification remains open. What refusal and compliance risks should founders address?

A state filing can be rejected or delayed for an unavailable or restricted name, incomplete registered-agent consent, inconsistent addresses, an unauthorised signature, missing information or incorrect payment. A technically accepted filing can still create risk if its management terms contradict the operating agreement, the wrong owner applies for the EIN, or the company starts regulated work without the required licence.

  • Do not select a state solely because it is described as having no tax; federal and activity-based state duties still need analysis.
  • Do not assume an LLC automatically receives the intended federal tax treatment; member count and elections matter.
  • Do not use a registered agent's address as a substitute for truthful operating, mailing or tax information.
  • Do not treat state formation as authority to conduct business in every other state.
  • Do not leave founder equity, intellectual-property transfer or signing powers to informal messages after filing.
  • Do not rely on an old BOI summary; check the current FinCEN rule for domestic and foreign-created entities before acting.

Which federal, Nevada and Texas requirements matter?

The federal layer includes EIN records, entity classification, income and employment tax, information returns and any sector-specific federal rule. FinCEN currently states that entities created in the United States are exempt from BOI reporting under its displayed rule. A foreign-created entity registered to do business in Nevada or Texas is a different category and may still require a reporting-company and exemption analysis. The rule is checked again before advice is given because agency requirements can change.

Nevada formation, state business licensing and Department of Taxation registrations are distinct steps. Texas formation is followed by Comptroller analysis; corporations, LLCs and certain other taxable entities may have annual information-report duties even when the current revenue position means a franchise-tax report is not required. In both states, employees, physical premises, taxable sales, professional services and activity in another state can create obligations beyond the formation certificate.

Cross-border founders should also document where strategic decisions are made, how capital enters the company, who owns technology and brands, and how services or licences move between related parties. Those facts can affect tax residence, permanent-establishment exposure, withholding, transfer pricing and reporting outside the United States. What happens after company registration in the USA?

The first post-formation actions are to preserve the accepted state documents, issue the internal approvals, create the ownership ledger, obtain the EIN and open the accounting records. The company should then complete each relevant state tax, payroll, sales-tax, local permit, assumed-name, insurance and foreign-qualification task before the activity that triggers it. Contracts, invoices and bank materials should use the exact legal name and authorised signatory.

An annual calendar should separate federal returns from Nevada or Texas filings and from requirements in every other state where the company operates. It should also track registered-agent status, information reports, licences, ownership changes and required governance approvals. Should I register the company in Nevada or Texas?

Choose by reference to the real place of management, employees, premises, customers, investors, licences and expected expansion. Formation in a state with limited physical activity may still require qualification and tax registration where the business actually operates. Should the US company be an LLC or a corporation?

An LLC can offer flexible internal governance, while a corporation may fit certain equity and investor plans. Can a non-US founder own a Nevada or Texas company?

Does a domestic US company need to file a FinCEN BOI report?

FinCEN currently states that entities created in the United States and their beneficial owners are exempt under its displayed rule. Certain entities formed abroad and registered to do business in a state can still fall within the current definition unless an exemption applies. We recheck the live rule before any filing decision.

Does formation let the company operate in every state?

No. Physical presence, employees, recurring local work, revenue activity, regulated services and other facts can require foreign qualification, tax registration or local permits outside the formation state. The company should review a new state's rules before opening premises, hiring or beginning material activity there.
