Overview
Treat the licence date as the start of an operating calendar, not the end of formation. Confirm corporate-tax registration, beneficial-owner records, accounting and invoicing, banking evidence, immigration/employment setup and every authority-specific renewal. Deadlines depend on the entity, tax period, employees, registrations and licence conditions.
First operational decisions
Record the final licence, constitutional documents, owners, authorised signatories, financial year, registered address, activities, approvals and expiry dates. Assign an owner to each obligation and keep authority receipts with the underlying record.
Trigger-based calendar
| Trigger | Review |
|---|---|
| Licence issued | tax registration, UBO/registers, accounting policy, bank and authority conditions |
| Ownership/control changes | registrar filing, UBO register, bank, tax and licence records |
| First employee | establishment/permit route, contract, payroll/WPS and workplace obligations |
| VAT threshold/event | mandatory or voluntary registration analysis and invoicing setup |
| Financial-year end | close accounts, audit if applicable, tax return and governance approvals |
| Licence/lease/visa expiry | renewal evidence, approvals and business-continuity dependencies |
Corporate tax follows the actual tax period
The FTA corporate-tax registration card is the current route for persons required or entitled to register. The FTA states that a return and payment are generally due within nine months after the relevant tax period. A universal “180 days after year end” statement is wrong.
Relevant records supporting returns are retained for at least seven years after the tax period. VAT is a separate trigger and must not be inferred from the licence alone.
Beneficial-owner records are living records
Cabinet Resolution 109/2023 requires in-scope legal persons to maintain a real-beneficiary register and include a change within 15 days after becoming informed of it. It begins with 25% ownership/voting or other control tests and includes a senior-management fallback. Financial free zones are excluded from this federal resolution and use their own systems.
Banking evidence continues after onboarding
Keep contracts, invoices, ownership charts, licences, addresses and expected-flow explanations current. Notify the bank where its terms or KYC requests require it. Actual activity should continue to match the declared profile.
Employment and immigration branch
Before work begins, confirm the employer, permit, contract, payroll/WPS route, insurance and applicable workplace rules. Do not use a residence status as a substitute for work authorisation.
Renewal and change control
Maintain one register for licence, lease/facility, establishment card, visas, approvals, insurance, registered agents and regulated permissions. Review a new product, activity, shareholder, manager, premises or financing before signing if it may require prior consent.
Use UAE governance and corporate-compliance support to build the entity-specific calendar.
Frequently asked questions
Is there one UAE post-incorporation checklist?
No. The core work is similar, but obligations depend on authority, activity, tax period, staff and registrations.
When is the corporate-tax return due?
Generally within nine months after the relevant tax period, subject to the applicable law and any specific FTA decision.
Must every company register for VAT immediately?
No. VAT registration follows its own mandatory/voluntary tests.
When must UBO information be updated?
An in-scope entity updates its internal register within 15 days after learning of a change and follows its registrar’s filing process.
Does opening a bank account finish KYC?
No. Banks monitor relationships and may request updated ownership, business and transaction evidence.
Should renewals be tracked from the incorporation anniversary?
Track the expiry shown on each actual licence, lease, visa, card and approval; dates may differ.
Official sources checked 20 July 2026. The company’s authority records and tax period control its calendar. General information only.
