We analyzed the UAE legislation, including the requirements of the Central Bank of the UAE and the Virtual Assets Regulatory Authority (VARA) — Dubai's crypto regulator, which has licensed only 21 companies in its entire history. We prepared a project implementation roadmap and a set of legal documents providing the necessary legal framework for launching the product in accordance with VARA.

The client received a fully developed market entry strategy that meets the unique requirements of the UAE.

We helped the client choose the optimal jurisdiction for the crypto business, organize the interaction of companies within the group, develop a legal structure, including intra-group agreements on intellectual property, build a strategy for the coexistence of two business areas - games and digital assets - while minimizing risks.

The client successfully launched a new business, while reducing launch costs thanks to competent legal structuring and protecting gaming assets from possible risks of crypto regulation.

We developed a distribution model through a distributor in the UAE so that the client could receive royalties from foreign clients. As part of the project, we prepared a set of legal documents for the implementation of this scheme: a distribution agreement between the client and the distributor from the UAE, regulating the terms of transfer of rights and receipt of royalties; an agreement with the end client, including elements of a software license agreement, as well as agreements for the provision of services (cloud access and technical support).

The client received a clear and legally verified distribution scheme, allowing it to effectively enter foreign markets and receive payments from foreign customers through the UAE. The developed agreements ensured legal protection of IP, allowed us to adapt the terms of work with end clients and optimize operational processes when expanding international activities.

The main challenge of the project was that the brand portfolio was developed by the client's marketing department without preliminary legal analysis, and the marketing strategy was already at an advanced stage. We identified risks associated with public order and the peculiarities of the Arabic language, and developed a strategy to eliminate them for safe entry into the Arab market. After agreeing on the legal and marketing strategy, we supported the legalization of documents for trademark registration.

Thanks to early risk assessment, our team successfully supported the process of trademark registration in the MENA countries without refusals from local authorities. This allowed the client to safely and legally enter the Arab market, ensuring brand protection and its compliance with local regulations.

The client developed a Web3 crypto wallet integrated with Telegram. Initially, the project was developed by an Estonian company, but there was no proper documentation for legal protection of intellectual property (IP).

We audited the IP creation processes by developers to ensure compliance with IP legislation. After that, we developed a package of documents ensuring the automatic transfer of rights to all past and future project developments to the client's holding company in the UAE. In addition, we developed an option agreement between the client and the holding company, granting the client the right to buy out all key IP assets in the event of a corporate conflict.

Our solution ensured reliable protection of the client's IP and legally secured the ownership of the IP in a strategically important jurisdiction - the UAE. The option agreement created an additional layer of security, allowing the client to be guaranteed to retain control over key assets in the cryptocurrency and Web3 space.

To implement the project, we proposed a structure with two companies in one of the free zones in the UAE: a holding company - owns the rights to the image and content, an operating company - is engaged in commercial activities based on a license agreement with the holding. Our team developed a full set of legal documents for the implementation of the corporate structure, ensured the registration of companies and the transfer of intellectual property rights.

The client successfully acquired the rights to the image and content of the influencer, building a flexible corporate structure in the UAE. This approach allowed for a clear separation of ownership of intellectual property and commercial activities, ensured a transparent distribution of shares between partners and optimized the content monetization process.

We advised the company on doing business in Oman, and also represented the company in the Sultan of Oman’s tender project “Economic City”.

We supported the process of filing applications for trademark registration, and conducted paperwork until positive decisions on registration were received.

We conducted a comparative analysis of the legal consequences of implementing a project to create a video game museum in the UAE and Saudi Arabia and prepared a communication strategy with copyright holders, taking into account the country of origin of the copyright holder. The project involved the extensive use of intellectual property of the largest video game developers and publishers, including characters, audiovisual content and other materials from different countries.

The developed legal strategy and fair use analysis allowed us to optimize the project concept, minimize the risks of violations and determine the best ways to legally use the content. This gave the client confidence in the international protection of the project and the opportunity to more accurately formulate its format and location.
