We conducted a deep due diligence of the Saudi partner before establishing a joint venture. During the audit, we analyzed critical internal documentation, more than 50 contracts with employees and freelancers involved in software development, and also checked compliance with more than 10 open-source licenses integrated into the software product.

To successfully launch an NFT game on the global market, it was necessary to prepare a Privacy Policy and Terms of Use, taking into account the Web3 format of the game and the features of its mechanics, the ability to create and sell NFT characters, and NFT transactions through third-party marketplaces. We developed universal legal documents that, despite complex in-game and technical processes, were written in simple and accessible language for users.

The documents we prepared provided a legal basis for the launch of the game, protected the client from potential claims from users and regulators, and guaranteed compliance with international law.

We developed a distribution model through a distributor in the UAE so that the client could receive royalties from foreign clients. As part of the project, we prepared a set of legal documents for the implementation of this scheme: a distribution agreement between the client and the distributor from the UAE, regulating the terms of transfer of rights and receipt of royalties; an agreement with the end client, including elements of a software license agreement, as well as agreements for the provision of services (cloud access and technical support).

The client received a clear and legally verified distribution scheme, allowing it to effectively enter foreign markets and receive payments from foreign customers through the UAE. The developed agreements ensured legal protection of IP, allowed us to adapt the terms of work with end clients and optimize operational processes when expanding international activities.

At the first stage, we conducted a detailed analysis of the risks associated with software rights transfer agreements. We prepared strategic recommendations to eliminate possible threats of loss of rights and ensure sustainable legal protection of the business. After that, we developed a license agreement for the use of software in the MENA region, which ensures the automatic transfer of rights to derivative products and new versions of the software to the Cypriot company.

Thanks to a competent license agreement, all rights to the modified and updated software remain the property of the Cypriot company, which guarantees long-term protection of intellectual property and eliminates the risk of losing control over key assets.

We proposed to use a legal entity in the UAE as a developer of a new version of the software. To implement the project, our team developed a comprehensive agreement between the copyright holder and the legal entity in the UAE, which regulated the creation of a new version of the software by a foreign legal entity and its subsequent license for foreign clients, and also delimited both versions of the software to eliminate the risk of infringement of rights to the original software.

The signed agreement allowed the client to officially launch the development of a new version of the software intended exclusively for foreign clients, while the copyright holder of the new version is a company in the UAE. This approach ensured legal protection of the client's rights, eliminated the risks of infringement of intellectual property and allowed the business to scale smoothly in the MENA region.

We prepared a memorandum on the current legislation on media content, including the criteria for its application, the main legal requirements and the specifics of licensing content from external platforms. In addition to the memorandum, we developed a detailed guide for the client's employees, including recommendations for selecting content, an analysis of high-risk and sensitive topics in accordance with UAE legislation, as well as ways to minimize legal risks, including licensing requirements.

The client received a clear strategy for complying with licensing requirements, which ensured legal security when purchasing and distributing content. The developed guide allowed us to minimize the risks of violations, optimize the content selection process and avoid potential disputes.

The client developed a Web3 crypto wallet integrated with Telegram. Initially, the project was developed by an Estonian company, but there was no proper documentation for legal protection of intellectual property (IP).

We audited the IP creation processes by developers to ensure compliance with IP legislation. After that, we developed a package of documents ensuring the automatic transfer of rights to all past and future project developments to the client's holding company in the UAE. In addition, we developed an option agreement between the client and the holding company, granting the client the right to buy out all key IP assets in the event of a corporate conflict.

Our solution ensured reliable protection of the client's IP and legally secured the ownership of the IP in a strategically important jurisdiction - the UAE. The option agreement created an additional layer of security, allowing the client to be guaranteed to retain control over key assets in the cryptocurrency and Web3 space.

We conducted an in-depth analysis of multi-jurisdictional agreements governing IP rights within a corporate group, including contracts governed by the laws of the UAE and Hong Kong. The analysis covered checking overlapping IP agreements for possible risks of loss or encumbrance of rights, analysis of international private law to assess conflict of laws rules applicable to the transaction, and development of a dispute resolution strategy, including arbitration protection mechanisms in different jurisdictions.

The conclusions from our analysis allowed the client to fully assess the IP landscape of the transaction and make an informed decision on the possible acquisition of a CIS company that owns the rights to a popular animated series.

We ensured legal transparency and reliability of the transaction, including notarization of contracts and transfer of rights in the UAE. After the successful acquisition of the software, we developed a custom contract structure that optimized payment processes for entering the Saudi Arabian market. The scheme involved the client's holding company in the UAE, local partners and a payment agent.

As a result of the transaction, the client's holding company in the UAE became the copyright holder of the key software, which allowed it to scale its implementation in 150+ clubs around the world. Thanks to the optimized contract structure, the client received a legally secure payment mechanism in Saudi Arabia, as well as a ready-made strategy for franchising expansion into this market.

We entered into negotiations with the state regulator, confirmed the possibility of contribution and agreed on the requirements for the volume and content of documents, prepared a step-by-step plan of the procedure, identified the requirements and drafted the necessary documents.

We provided full support for the transaction to contribute software rights to the company's authorized capital - from checking the availability of rights to reflecting the software on the company's balance sheet.

We assisted in making a decision and approving the corporate and contractual structure of the service, while communicating with government agencies and regulators to obtain classified information. Based on this, we prepared documents for obtaining VARA approval, including a detailed business plan.

Launch of an international platform for freelancer and contractor communication service with a reliable legal basis.

We conducted a comparative analysis of the legal consequences of implementing a project to create a video game museum in the UAE and Saudi Arabia and prepared a communication strategy with copyright holders, taking into account the country of origin of the copyright holder. The project involved the extensive use of intellectual property of the largest video game developers and publishers, including characters, audiovisual content and other materials from different countries.

The developed legal strategy and fair use analysis allowed us to optimize the project concept, minimize the risks of violations and determine the best ways to legally use the content. This gave the client confidence in the international protection of the project and the opportunity to more accurately formulate its format and location.
