We conducted a deep due diligence of the Saudi partner before establishing a joint venture. The legal audit allowed us to confirm the rights to key software and identify potential risks before concluding the deal. During the audit, we analyzed critical internal documentation, more than 50 contracts with employees and freelancers involved in software development, and also checked compliance with more than 10 open-source licenses integrated into the software product.

Thanks to detailed due diligence, the client minimized risks before concluding an agreement to establish a joint venture and received confirmation of the legality of using the software in the MENA region.

We developed a strategy for the client to enter the Saudi Arabian market through franchising and ensured the legal registration of relations with a local partner. As part of the project, we analyzed the Saudi Arabian market in terms of franchising regulation and possible risks, negotiated with local partners, prepared a franchise agreement and ensured its registration with local authorities.

We analyzed the legislation for requirements and restrictions potentially applicable to the service (AML, special licenses and permits), communicated directly with authorities and regulators to obtain classified
information.

Prepared a detailed report in which we described the possible risks of violating the legislation and gave recommendations on how to avoid violations and fines.

We prepared a legal opinion on the rules for registering a company and licensing requirements for conducting esports activities, as well as a step-by-step map for working with the company's IP (the structure of distribution of rights, features of registering IP objects in the KSA).

Developed a detailed plan for entering the Saudi Arabian market and further
scaling of the company using a franchising model.

We communicated directly with the KSA government authorities to clarify certain provisions of the law. Based on the clarifications received, we prepared a guide with recommendations for employees on the registration and distribution of medicinal products, a description of the risks from the point of view of the KSA legislation and ways to reduce them.
