We helped the client restructure the investment scheme, ensuring the transfer of obligations under existing investment agreements to a new legal entity in the UAE. In the process, we developed a mechanism for transferring investments to a new structure taking into account all legal and regulatory requirements, analyzed and minimized tax risks associated with affiliation of persons. Finally, we developed an intellectual property management strategy so that the client retained control over the game products being created and ensured investment protection.

The client successfully launched the parent company in the UAE, ensuring a legally correct transition of investment activities.

We provided comprehensive support in conducting a venture capital investment transaction for an IT startup registered in Delaware. As part of the support, we prepared and agreed on a Term Sheet, negotiated and prepared a share purchase agreement, developed the charter for the new company and coordinated negotiations between the founders and investors, ensuring the achievement of mutually beneficial terms of the transaction.
