We developed a comprehensive solution, including a contractual scheme for effective interaction between companies, preparation of key contracts for regulating internal and external operations, financial mechanisms and payment management, IP protection and management. Particular attention was paid to the latter in order to eliminate possible conflicts between companies, simplify cooperation with external partners and ensure automatic consolidation of all IP under the main copyright holder.

As a result of the reorganization of the structure, the client received a legally verified scheme of ownership and asset management, which made it possible to increase the efficiency of intellectual property management, ensure legal protection of digital assets, streamline financial flows between companies and reduce operational and tax risks in international activities.

We identified an incorrect implementation of the OECD NEXUS approach in the legislation on tax incentives for the IT sector. To eliminate this legal error, we held discussions with OECD experts, took part in a public discussion in Kazakhstan and proposed appropriate amendments.

Based on our initiative and the work done, amendments were made to Kazakhstan's IT legislation. As a result, tax incentives for the IT sector in Kazakhstan were brought into line with OECD principles, and Astana Hub residents received legal certainty when receiving tax preferences.

We consulted the client on early (seed and pre-seed) investments in gaming startups Astana Hub.

Prepared a detailed report describing possible investment mechanisms and their consequences from the point of view of civil legislation and practice of Kazakhstan, including an assessment of the tax consequences of each investment method and the risks associated with debt write-off.

We calculated and compared the tax consequences of different scenarios for entering the Kyrgyz market, taking into account the specifics of cash flows through Kyrgyzstan: through a representative office in Bishkek, through an agent or without physical presence.

Report with an analysis of the optimal option for entering the Kyrgyz market, taking into account tax and other features (on opening accounts, monitoring activities in the jurisdiction, etc.)

We developed a plan for incorporating the client’s company in Kazakhstan, supported the company registration process, opening an account, and full relocation and employment of more than 80 employees. After completing the incorporation process, we consulted the client on accounting and personnel records in Kazakhstan, and also supported the process of obtaining Astana Hub resident status.
