We analyzed the intellectual property rights associated with the operation of the application, identified possible risks associated with the use of content, developed a legally correct description of the service in documents to minimize the client's liability.

The client received a EULA that competently regulates the use of intellectual property in the application, reduces legal risks due to the correct description of the functionality and ensures compliance with the requirements of the legislation in the field of digital services.

We analyzed IP protection legislation in target countries, prepared agreements for the transfer of intellectual property rights and identified key assets (trademarks, patents, software, industrial designs, copyrights) for protection. After completing the preliminary stage, we filed applications for registration of national trademarks in the UAE, Georgia and Kazakhstan, and also initiated international registration through WIPO, covering 25 countries and filing applications in South Africa, Argentina, Jordan, Saudi Arabia, Qatar and Kuwait.

Thanks to the optimal choice of the base jurisdiction for international registration, as well as the analysis of accelerated patenting programs, the client was able to significantly reduce the time frame for protecting its technologies and successfully expand its presence in the global market.

Due to the expansion of our network of eSports clubs, we have filed trademark applications in key jurisdictions including Saudi Arabia and the European Union. We also recommended registering a word mark in additional countries for broader protection, rather than being tied to a specific brand style.

The client received robust international brand protection, allowing them to begin franchising in new countries. By registering a word mark, the client will avoid having to re-file applications if their brand style changes, ensuring broad legal protection for the brand from the start.

We identified objects for registration as trademarks, analyzed legislation to select optimal jurisdictions for national applications and basic registration, ranked countries by timeframes, procedures and budgets. The key element of the strategy was the competent choice of the basic jurisdiction for international trademark protection. Active cooperation with local lawyers helped to identify the most promising registration options.

Using the created IP in social networks made it difficult to determine the boundaries of use and choose a jurisdiction for protection. Thanks to the timely registration of intellectual property, the client avoided the risks of brand dilution and imitation and violation of third-party rights.

To successfully launch an NFT game on the global market, it was necessary to prepare a Privacy Policy and Terms of Use, taking into account the Web3 format of the game and the features of its mechanics, the ability to create and sell NFT characters, and NFT transactions through third-party marketplaces. We developed universal legal documents that, despite complex in-game and technical processes, were written in simple and accessible language for users.

The documents we prepared provided a legal basis for the launch of the game, protected the client from potential claims from users and regulators, and guaranteed compliance with international law.

We conducted a detailed analysis of the tax consequences of new amendments to the R&D deduction rules in the US, assessed the risks and potential financial losses of the client and
developed a strategy for transferring part of the operations from the US to the UK to optimize the tax burden.

The client received a clear understanding of the consequences of changes in US tax legislation and was able to optimize the structure of operations, minimizing financial losses. By transferring part of the activities to the UK, the company reduced the tax burden and ensured stability of R&D financing in the new conditions.

The main challenge of the project was that the brand portfolio was developed by the client's marketing department without preliminary legal analysis, and the marketing strategy was already at an advanced stage. We identified risks associated with public order and the peculiarities of the Arabic language, and developed a strategy to eliminate them for safe entry into the Arab market. After agreeing on the legal and marketing strategy, we supported the legalization of documents for trademark registration.

Thanks to early risk assessment, our team successfully supported the process of trademark registration in the MENA countries without refusals from local authorities. This allowed the client to safely and legally enter the Arab market, ensuring brand protection and its compliance with local regulations.

We conducted an in-depth analysis of multi-jurisdictional agreements governing IP rights within a corporate group, including contracts governed by the laws of the UAE and Hong Kong. The analysis covered checking overlapping IP agreements for possible risks of loss or encumbrance of rights, analysis of international private law to assess conflict of laws rules applicable to the transaction, and development of a dispute resolution strategy, including arbitration protection mechanisms in different jurisdictions.

The conclusions from our analysis allowed the client to fully assess the IP landscape of the transaction and make an informed decision on the possible acquisition of a CIS company that owns the rights to a popular animated series.

We ensured legal transparency and reliability of the transaction, including notarization of contracts and transfer of rights in the UAE. After the successful acquisition of the software, we developed a custom contract structure that optimized payment processes for entering the Saudi Arabian market. The scheme involved the client's holding company in the UAE, local partners and a payment agent.

As a result of the transaction, the client's holding company in the UAE became the copyright holder of the key software, which allowed it to scale its implementation in 150+ clubs around the world. Thanks to the optimized contract structure, the client received a legally secure payment mechanism in Saudi Arabia, as well as a ready-made strategy for franchising expansion into this market.

We conducted deep Due Diligence, analyzing the ownership of IP and identifying potential risks. After identifying critical risks, we helped the IT company implement mechanisms to minimize them before signing the share purchase and sale agreement and took on the preparation and approval of all legal documentation.

Thanks to our proactive approach, the deal was successfully completed on time.

The group consisted of 16 companies located in Belarus, Brazil, Vietnam, Hong Kong, India, Kazakhstan, China, the Netherlands, Russia, the UAE, the USA and Finland. An important condition was the implementation of all stages of restructuring without the personal
presence of directors and shareholders during implementation. Taking these conditions into account, we developed a restructuring model.
